The Structure

How founder participation works

The 19th Hole is being structured as a manager-managed LLC with multiple classes of founder units — designed to separate invested capital, long-term participation, and personal club membership.

  • Founder units, not a subscription

    Capital is tracked in LLC units. Larger commitments are designed to receive enhanced long-term participation.

  • Membership is separate from ownership

    Every founder receives a personal club membership license, distinct from their financial interest and subject to club approval and standards.

  • Return of capital, then a preferred return

    The operating agreement is designed around returning invested capital and a preferred return before residual profits are shared — subject to available cash and final documents.

  • Manager-managed

    Day-to-day operations are run by management. Founders hold defined protective rights — not a vote on the menu.

  • A long-term hold

    This is an illiquid, long-term commitment with transfer restrictions — not a redeemable membership.

  • By qualification & approval

    Founder participation is limited and offered only to qualified persons, confirmed through subscription and offering documents.

Final rights, preferences, restrictions, distributions, and transfer rules will be governed by the operating agreement, subscription documents, membership agreement, and applicable law.

Questions

What founders ask first.

Why is it called The 19th Hole?

In golf, the 19th hole is the one everyone can play — the table after the round, where the scorecard stops mattering and the relationships begin. That's the club: you don't have to golf to belong here. The simulator is one of eight rooms, not the point.

Is this a club membership or an investment?

Founder participation is expected to include both a financial ownership component and a separate personal club membership. The final structure will be governed by legal documents and is subject to qualification and approval.

Can anyone participate?

No. Founder participation is expected to be limited and subject to qualification, approval, and compliance with applicable securities laws.

Are returns guaranteed?

No. There are no guaranteed returns. Any financial participation is subject to business performance, available cash, reserves, final offering documents, and applicable law.

Can I transfer my founder interest?

Transfers are expected to be restricted. Financial interests and personal club membership rights may be treated separately and may require company approval.

Will founders run the club?

The club is expected to be manager-managed. Founders may receive certain protective rights, but day-to-day operations will be handled by management.

What makes the higher tiers different?

Higher tiers are expected to receive enhanced access, recognition, and long-term participation. Final details will be set forth in the operating and membership documents.

When does the club open?

Design and buildout are underway, with a planned opening in Q4 2026. Founders join now and help shape what opens.
